Sir:-

In reply to your telegram, Oct. 10, I telegraphed to you, Oct. 11, as follows:-- "I will furnish the party, also, if you wish, the engineers, and pay the expenses. Please act as my proxy in meetings of Directors, until further advised." Since that date your telegram of the 14th and Mr. Dey's of the 15th have come to hand, the latter closing with the words:-- "Have written fully", and our engineers are awaiting those written instructions, that they [word cut off] begin and carry out the work as desired; at least so far as the weather and lateness of the season will permit. Snow has already fallen upon the mountains and the weather just now is cool and lowering, though it may clear off pleasant and so continue a few weeks.

However, should the weather prevent carrying out all Mr. Dey's instructions this Fall, the party will be in readiness to prosecute them to completion at the earliest practicable date next spring.

Please inform me, by letter, the amount you was so kind as to pay in my behalf; and be so good as to add such instructions, &c., in relation to what must be required of me as a director as your judgement may dictate, and oblige,

I shall be pleased to have you, at your earliest convenience, and from time to time as you may come in possession, mail to me the by-laws and rules of the Board of Directors, the proposed plan for building the road, the kind of timber you propose using for ties, and all such information as you deem pertinent to enable me to render the most understanding and efficient aid in my power to the Board and to the Company, toward completing so great a work at the earliest practicable date.
