Sir,

By examining the original charter of the Toll Road granted to me by Legislature of 1863-4 and which you spoke to me about having transferred to you, I find that the terms of the charter will not admit of it. It grants me no associates and limits my powers. I could hire you to attend to it; but could not transfer it to you.

Enclosed please find the blank charter which you left with me.
