 Dear Bro:--
        
You will receive to day a "power of attorney" to act as my agent in the collection of the debt due me by the U.P.R.R. Company.
    
Feeling very desirous that the Men who have laboured faithfully on the Railroad should receive their just dues, we have concluded to take this course to accomplish it, and, relying on your experience in, and acquaintance with the work, you have been selected to attend to this important business.
    
I wish you to proceed to the Company's headquarters, and with the least possible delay bring the claims directly before the Board of Directors. In the collection of this debt I would like you to obtain, first, as much money as you possibly can, then, Railroad Iron, Locomotives, Cars, Steam Shovel & all kinds of Materials neccessary for the building & equipment of the "Utah Central" not only from Ogden to this City, but even for 80 or 100 miles; then, a portion of this debt might be applied to pay for the transportation of our Immigrants over the U. P. R. R. & possibly, even from New York City. You can confer with Bro. Wm. C. Staines on this point.
    
It will be strictly neccessary in purchasing Railroad Material for the U. C. to avoid doing everything that might in any way compromise that Company, or give the U. P. any hold directly or indirectly on its Stock or Bonds.
    
Jos. A. Young will no doubt be able to give you much valuable information on the subject of Railroad Material generally -- prices; quality & the best kinds of Locomotives, Cars, Steam Plows &c. I would therefore advise you to counsel with him but I do not wish him to take any part whatever, in the purchase of the material, for the reason above mentioned, as he is the Agent of the U. C. Co.

I would be pleased to have you post me on all points as they occur, by letter or telegraph if of sufficient importance
